These Terms of Use ("Terms") govern your access to and use of the website located at mjwlaw.ai (the "Site") and the AI Risk Assessment tool and related services made available through the Site (the "Assessment Tool"), which are owned and operated by Marc J. Weinstein PLLC (the "Firm," "we," "us," or "our"). By accessing the Site or using the Assessment Tool, you agree to be bound by these Terms. If you do not agree to these Terms, do not access the Site or use the Assessment Tool.
1. Description of Service
The Site provides information about the Firm's legal practice and offers the Assessment Tool, an interactive self-assessment designed to help organizations evaluate their current approach to artificial intelligence governance. The Assessment Tool presents a series of questions, generates a numerical AI Risk Score based on the responses provided, and produces a personalized AI Risk Assessment Report (the "Report") containing informational content, analysis, and recommendations.
2. No Attorney-Client Relationship
Your use of the Site and the Assessment Tool does not create an attorney-client relationship between you, your organization, or any other person or entity and the Firm. No attorney-client relationship exists unless and until a separate, written engagement agreement is executed by the Firm and the client. Communications through the Site, including information submitted through the Assessment Tool, are not protected by attorney-client privilege or the work product doctrine.
3. Not Legal Advice
The content of the Site, the Assessment Tool, and any Report generated through the Assessment Tool are provided for informational and educational purposes only and do not constitute legal advice. The information, analysis, and recommendations contained in any Report are general in nature and are not tailored to the specific legal, regulatory, or operational circumstances of your organization. You should not act or refrain from acting based on the contents of any Report without first consulting qualified legal counsel who can evaluate your specific circumstances. The Assessment Tool is not a legal compliance audit, regulatory assessment, or certification of any kind.
4. Eligibility
The Assessment Tool is intended for use by professionals acting on behalf of an organization. By using the Assessment Tool, you represent that you are at least 18 years of age and that you have the authority to provide information about your organization's practices as contemplated by the Assessment Tool.
5. User Responsibilities
You agree to provide accurate, current, and complete Contact Information (as defined in the Privacy Policy) when using the Assessment Tool, including your name, professional title, organization name, and organizational email address. You agree to provide an organizational email address, not a personal email address, when requesting a Report. You are solely responsible for the accuracy and completeness of the responses you provide, and you acknowledge that the Report is only as reliable as the information on which it is based.
6. Intellectual Property
All content on the Site, including the Assessment Tool, the questions, response blocks, scoring methodology, report content, design, text, graphics, and underlying code, is the property of the Firm and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any content from the Site or any Report for commercial purposes without the prior written consent of the Firm.
You are granted a limited, non-exclusive, non-transferable license to use the Report generated from your completion of the Assessment Tool for your organization's internal purposes only. This license does not extend to the underlying content framework, scoring methodology, or any other intellectual property of the Firm.
7. Confidentiality of Responses and Reports
The Firm will treat your Assessment Data (as defined in the Privacy Policy) -- meaning the particular combination of responses, scores, and content assembled based on your responses that, taken together, reveals information about your organization's AI governance practices -- as confidential, and will not disclose it to third parties without your consent, except as required by law, legal process, or court order, or in aggregated, de-identified form that cannot reasonably be used to identify your organization. The Firm will treat your Contact Information (as defined in the Privacy Policy) with the same confidentiality. These confidentiality commitments apply to information that can be associated with your organization. They do not apply to the underlying content framework, including the questions, response block text, scoring methodology, tier narratives, domain summaries, and recommendations, which are the intellectual property of the Firm. These confidentiality commitments are contractual obligations and do not create or imply any evidentiary privilege. 8. Disclaimer of Warranties
The Site and the Assessment Tool are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. The Firm disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. The Firm does not warrant that the Site or the Assessment Tool will be uninterrupted, error-free, or free of viruses or other harmful components. The Firm does not warrant that the information contained in any Report is complete, accurate, or current, or that reliance on such information will achieve any particular result.
9. Limitation of Liability
To the fullest extent permitted by applicable law, the Firm shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from or related to your use of or inability to use the Site, the Assessment Tool, or any Report, whether based in contract, tort, strict liability, or any other legal theory, even if the Firm has been advised of the possibility of such damages. In no event shall the Firm's total liability to you exceed fifty dollars ($50.00).
10. Indemnification
You agree to indemnify, defend, and hold harmless the Firm and its members, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Site or the Assessment Tool, your violation of these Terms, or your violation of any rights of a third party.
11. Third-Party Services
The Site may contain links to third-party websites or resources. These links are provided for your convenience only. The Firm has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or resources. The inclusion of any link does not imply endorsement by the Firm.
12. Modifications
The Firm reserves the right to modify these Terms at any time. Any changes will be effective upon posting of the revised Terms on the Site with an updated effective date. Your continued use of the Site or the Assessment Tool following the posting of changes constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any dispute arising from or related to these Terms or your use of the Site or the Assessment Tool shall be subject to the exclusive jurisdiction of the state and federal courts located in Philadelphia, Pennsylvania. You consent to the personal jurisdiction of such courts.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy and any disclaimers presented through the Assessment Tool, constitute the entire agreement between you and the Firm regarding your use of the Site and the Assessment Tool, and supersede all prior and contemporaneous agreements, representations, and understandings.
